Promote a strong ethics and compliance culture by developing and deploying an effective Ethics & Compliance Program, which includes providing guidance regarding established corporate-wide Ethics & Compliance policies and guidelines, creating policies and procedures to ensure adherence to applicable laws, regulations and other governmental requirements as appropriate; developing, implementing and managing additional program infrastructure, policies and practices as needed; providing training and advice and counsel on a range of topics including conflicts of interest, anti-corruption and gifts and entertainment; overseeing internal investigations; ensuring that employee and third-party concerns are addressed in a prompt and thorough manner; and reporting to the Audit Committee of the Board of Directors on the adequacy and effectiveness of the Ethics and Compliance programs.
� Drive the continued development, implementation and monitoring of ethics and compliance policies and procedures to ensure compliance with laws/regulations and inspire commitment to Intel's culture of integrity.
� Provide day-to-day proactive ethics and compliance legal advice at all levels of the company, including senior leadership; identify creative, compliant solutions to achieve business goals and strategies.
� Provide oversight and strategic direction for management of investigations within the Compliance program to resolve ethics and compliance matters that may have significant impact to the organization.
� Develop and maintain active and constructive working relationships throughout the company to ensure effective cross-functional relationships and ethics and compliance program awareness, including with senior level management.
� Lead company-wide assessments to monitor compliance with established standards and procedures in specified compliance areas.
� Stay up to date on key developments related to ethics and compliance including benchmarking, research and best practices.
� Develop and maintain appropriate records and metrics for the Ethics and Compliance Program.
� Develop and implement tools/programming/training/communications that promote a culture of ethics and compliance that ensures that employees speak up about concerns and have a strong understanding of the Ethics and Compliance Program; develop innovative approaches to training to encourage employee engagement.
� Prepare and deliver reports for the Audit Committee and senior management on the operation and status of the Company's Ethics & Compliance program.
� Co-Chair the Ethics and Compliance Oversight Committee.
� Set department goals and key results, and manage team and resources, including budget, to hit commitments.
� Develop, cultivate and enable a high performing compliance team with diverse membership.
� J.D. and a minimum of 15 years of experience in ethics and compliance or related function. Prior Justice Department, law firm and corporate compliance leadership role experience preferred.
� In-depth knowledge and understanding of applicable ethics and compliance program requirements and best practices and methodologies, including developing policies and procedures, training and communication, risk assessment, and monitoring and testing activities.
� Significant expertise in conducting internal and external confidential investigation in the US and globally.
� Strong experience with Foreign Corrupt Practices Act (FCPA) and other Anti-Corruption and Compliance-related laws/issues.
� Strong ability to think innovatively and strategically to resolve matters effectively and efficiently and to build collaborative relationships with the Audit Committee, senior management and business leaders, while managing shifting priorities.
� Executive presence.
� Proven leadership capabilities, as demonstrated by successfully developing and managing a team of legal or compliance professionals.
� Excellent legal and business judgment; a high degree of discretion; strong analytical skills; excellent verbal and written communication skills; and strong presentation skills.
� Effective at developing internal and external alliances and liaisons with law enforcement, regulatory agency representatives and customer/industry peers.
� Unquestionable integrity.
� Admission in good standing to the Bar of the State of California either directly or as a Registered In-House Counsel.
